1. Acceptance of Terms

By accessing or using ValAi ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all the terms and conditions, you may not access or use the Service.

2. Description of Service

ValAi provides an AI-powered concierge platform designed for Airbnb hosts. The Service includes multilingual guest communication, automated responses, QR-code-based guest access, and related tools. Features and availability may change without prior notice.

3. User Accounts

You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Subscription & Payment

Some features of the Service require a paid subscription. All fees are exclusive of taxes, which are your responsibility. Prices are those shown on our pricing page at the time you subscribe.

Starting a free trial. Eligible plans include a 30-day free trial. You do not need to enter a payment card to start a trial, and we take no payment during it.

If a trial ends with no payment method. Your subscription is cancelled automatically at the end of the trial. No payment is attempted and you are not charged. A trial never becomes a paid subscription on its own. Your guest concierge stops answering guests and shows a short "temporarily paused" message until you choose a paid plan. You can still sign in, and your account, properties and uploaded information are kept.

Choosing a paid subscription. A paid subscription begins only when you choose a plan and provide a valid payment method — during a trial, after a trial has ended, or at any later time. If you add a payment method before your trial ends, the first charge is taken on the trial end date at the plan price shown when you subscribed. If you subscribe after a trial has ended, the first charge is taken at that time.

Renewal of a paid subscription. Paid subscriptions renew automatically at the end of each billing period, and your payment method is charged at the then-current plan price, until you cancel. If a renewal payment fails, we may retry it; if payment is not received, the subscription is cancelled and your concierge is paused.

Cancelling during a trial. You may cancel at any time during a trial from your account settings. You are not charged, and you keep access for the remainder of the trial period.

Cancelling a paid subscription. You may cancel at any time from your account settings. Cancellation takes effect at the end of the billing period you have already paid for; you keep access until that date and are not charged again. We do not provide partial refunds for the remainder of a paid period unless required by law. Where offered, you may pause billing for a set number of months instead of cancelling, after which billing resumes automatically.

5. Fair Use of AI Features

Each ValAi plan includes a monthly allowance of guest conversations per property, as described on our pricing page. These allowances are designed to comfortably exceed typical usage for short-term rental properties. ValAi may throttle, limit, or require a plan upgrade for usage patterns that substantially exceed included allowances or that are inconsistent with genuine guest use — including automated or bot traffic, use of the concierge for purposes unrelated to a property or stay, resale of access, or embedding the concierge on websites where the customer's plan does not include website embedding. Where sustained excess usage occurs, we will always contact you to recommend an appropriate plan before restricting service, and guest-facing concierges are never interrupted mid-stay except in cases of abuse. Conversation allowances reset monthly and unused conversations do not roll over.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. You may not attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems connected to the Service. You may not use the Service to send spam, harass others, or distribute malicious content.

7. Intellectual Property

All content, software, trademarks, logos, and other intellectual property displayed on or through the Service are the property of ValAi or its licensors and are protected by applicable laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any content without our prior written consent.

8. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI-generated responses are automated and should be reviewed for accuracy before being relied upon.

10. Limitation of Liability

To the fullest extent permitted by law, ValAi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
